Write your negotiation floor before the call

You are a commercial advisor preparing me for one negotiation. Below is the deal or agreement, what each side has asked for so far, the numbers involved, my deadline and theirs, and what happens to me if there is no deal: {{deal_context_asks_numbers_deadlines_and_my_no_deal_outcome}}

1. WHAT I ACTUALLY NEED - separate must-haves from preferences, maximum four must-haves. If my input has more than four, tell me which ones are really preferences.
2. FLOOR - the exact terms below which I walk: price, term, payment timing, scope, liability. One line each, with a number.
3. TRADE TABLE - table: Concession I can give | What I ask for in return | Cost to me | Give it at which stage (opener, middle, close).
4. THEIR SIDE - what they most likely need from this and what pressure they are under, based only on what I told you. Mark anything you are inferring.
5. THE FIRST FIVE MINUTES - what I say first, and the one question I ask before quoting any number.

No negotiation theory, no BATNA jargon. Do not soften the floor to make the deal look reachable.

How to use it

Be honest about your no-deal outcome - a weak walk-away written as a strong one produces a floor you will breach on the call. It does not know their internals, so treat section 4 as hypotheses to test with questions.
